These terms govern your use of invest.pontex.ai (the "Site"), operated by Pontex, Inc. ("Pontex"). By using the Site you agree to them. If you do not agree, please do not use the Site.
No offer of securities
The Site describes a private offering of Simple Agreements for Future Equity by Pontex, Inc. conducted pursuant to Rule 506(c) of Regulation D under the Securities Act of 1933, as amended. Nothing on the Site is an offer to sell or a solicitation of an offer to buy any security in any jurisdiction where such an offer or solicitation would be unlawful.
Any investment will be made solely pursuant to the applicable SAFE, Subscription Agreement and related offering documents, which govern the terms of the investment and control over anything stated on the Site. Sales will be made only to accredited investors whose status has been verified in accordance with Rule 506(c).
Eligibility
The Site is intended for prospective investors, strategic partners and other business counterparties. You may use it only if you are able to form a binding contract and are not barred from doing so under applicable law.
Submitting the interest form does not create any obligation on either side, does not reserve an allocation and does not constitute a commitment to invest or to accept an investment.
Information you provide
You agree that the information you submit is accurate and that you are entitled to provide it. Do not submit financial statements, identity documents or accreditation evidence through this Site; accredited investor verification is handled separately by a third-party service.

Forward-looking statements
The Site contains forward-looking statements about Pontex's technology, markets, plans and expected outcomes. These are subject to risks and uncertainties, and actual results may differ materially. Pontex is pre-revenue, and there can be no assurance that it will achieve any projected milestone. Investing in early-stage companies involves significant risk, including the possible loss of the entire investment.
Market figures and third-party research cited on the Site are attributed to their sources and are not independently verified by Pontex.
Intellectual property
The Site and its content, including text, graphics, logos, the Pontex name and the investor deck, are owned by Pontex or its licensors and are protected by intellectual property laws. You may view and download the investor deck for the purpose of evaluating the opportunity. You may not otherwise copy, republish, distribute, modify or create derivative works from the Site's content without our prior written consent.
Acceptable use
You agree not to interfere with or disrupt the Site, attempt to gain unauthorized access to it, use it to transmit unlawful or misleading content, submit another person's details without their permission, or use automated means to scrape or overload it.
Third-party links and services
The Site links to third-party websites and relies on third-party services. We do not control them and are not responsible for their content, availability or practices. Your use of them is governed by their own terms.
Disclaimer and limitation of liability
The Site is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement.
To the fullest extent permitted by law, Pontex and its officers, directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits or business opportunity, arising out of your use of or inability to use the Site. Nothing in these terms excludes liability that cannot lawfully be excluded.
Changes
We may update the Site and these terms at any time. The date at the top of this page shows when they were last revised, and continued use of the Site after a change means you accept the revised terms.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules, and the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising from them.
